2. Definitions
In these terms and conditions, the following definitions apply:
a. Etappe Cycling: the user of these general terms and conditions.
b. Customer: any natural person or legal entity that enters into or wishes to enter into an agreement with Etappe Cycling.
c. Consumer: the customer who acts for private purposes, outside of their profession or business.
d. Agreement: any agreement between Etappe Cycling and the Customer, including distance selling (webshop), on-site purchasing, and/or a contract for services (maintenance, repair, wheel building, overhaul, B2B services).
e. Product: all (bicycle) products, parts, wheel sets and accessories offered or supplied by Etappe Cycling.
f. Service: all work offered or carried out by Etappe Cycling, including maintenance, repair, wheel building, wheel overhaul and related services.

3. Applicability
3.1 These general terms and conditions apply to all quotations, offers, orders, agreements and deliveries of Etappe Cycling.
3.2 Deviations only apply if they have been confirmed in writing (including by email) by Etappe Cycling.
3.3 Any terms and conditions (including purchasing terms and conditions) of the Customer are expressly rejected, unless accepted in writing.
3.4 If any provision is void or voidable, the remaining provisions shall remain in full force and effect. The parties shall replace the provision in question with a provision that approximates its meaning as closely as possible.

4. Offer, range and availability (webshop)
4.1 All offers are without obligation, while stocks last and as long as there are no obvious errors.
4.2 Etappe Cycling does its utmost to keep stock and availability up to date. It is possible that online availability may differ from actual availability. In that case, Etappe Cycling may cancel the order (in whole or in part).
4.3 Products may be placed on backorder where possible. Delivery times for backorders are indicative.
4.4 Certain wheel sets or parts may be delivered (in part) from an external supplier's warehouse. As a result, the package may contain different sender details than expected.
4.5 If a product cannot be delivered (any longer) and the Customer has already paid, Etappe Cycling will refund the amount already paid for the undelivered part.

5. Conclusion of agreement
5.1 The agreement is concluded:
a. for webshop orders: at the moment Etappe Cycling confirms the order (automatically or manually), or when Etappe Cycling actually executes the order;
b. for services: at the time of written confirmation (including by email/WhatsApp) or acceptance of a booking/reservation, or when Etappe Cycling actually commences work.
5.2 Etappe Cycling may refuse an assignment or attach further conditions to its execution, within the limits of the law.

6. Prices, VAT, and payment methods
6.1 All prices are in euros.
6.2 Webshop prices for consumers include VAT, unless explicitly stated otherwise. Any shipping costs will be listed separately during the ordering process.
6.3 Business (B2B) prices may be exclusive of VAT if so indicated.
6.4 Etappe Cycling can offer the following payment methods (not exhaustive): iDEAL, credit card (including Visa, Mastercard, American Express) and other payment methods as stated on the website/checkout.
6.5 For services, rates may be fixed or hourly (based on an hourly rate). Any parts/materials will be charged separately, unless otherwise agreed.

7. Payment and (non-)timely payment
7.1 Webshop orders are generally paid for in advance.
7.2 For services, Etappe Cycling may require (partial) advance payment, a deposit, or payment immediately after performance.
7.3 If the Customer fails to pay on time, the Customer will be in default by operation of law. Etappe Cycling may charge statutory (commercial) interest and reasonable collection costs in accordance with the statutory rules.

8. Delivery, shipping, collection and risk
8.1 Delivery times are indicative, unless expressly agreed otherwise in writing.
8.2 Etappe Cycling can ship products or arrange for collection by appointment.
8.3 In the case of consumer purchases, the risk of loss or damage to a product is transferred to the Consumer at the moment the product is taken into possession by or on behalf of the Consumer.
8.4 For business customers, the risk is transferred upon delivery (handover) to the carrier, unless mandatory law stipulates otherwise.
8.5 If the Customer delivers products, wheels or bicycles for repair or service (e.g. by post/courier), the Customer bears the risk of shipping to Etappe Cycling. The return risk lies with Etappe Cycling until delivery to the Consumer, and for business customers until delivery to the carrier, unless otherwise agreed.

9. Right of withdrawal (Consumers, online shop)
9.1 In the case of distance selling, the Consumer has the right to terminate (revoke) the agreement within 14 days without giving any reason. The exception (Section 6:230p of the Dutch Civil Code) applies to products that are not prefabricated but are specifically manufactured on the basis of individual specifications, choices or decisions made by the consumer, or are clearly intended for a specific person. Examples include custom wheels with selected rims, spokes, hubs and diameters, or personalised bicycle accessories.
9.2 The withdrawal period expires 14 days after the day on which the Consumer (or a third party designated by the Consumer) has received the product.
9.3 During the cooling-off period, the Consumer may only handle and inspect the product as one would be permitted to do in a physical shop. In the event of depreciation due to further use, Etappe Cycling may charge for this depreciation.
9.4 The costs for return shipping are borne by the Consumer, unless Etappe Cycling indicates otherwise.
9.5 After cancellation, Etappe Cycling will refund all payments received from the Consumer, excluding any additional costs incurred by the Consumer choosing a more expensive delivery method than the standard delivery, within 14 days of receiving the cancellation notice. Etappe Cycling may wait to refund until it has received the products, or until the Consumer demonstrates that he has returned them, whichever occurs first.
9.6 Exceptions to the right of withdrawal: the right of withdrawal may be excluded for (among other things) products that have been manufactured according to the Consumer's specifications or are clearly personal in nature (custom-made), and other legal exceptions. If applicable, Etappe Cycling will make this clear in the product information or when ordering.

10. Returns and exchanges (additional)
10.1 The following applies to wheel sets and wheels: if a Consumer revokes within the cooling-off period, Etappe Cycling expects that wheels have not been mounted and have not been used other than as necessary for inspection. In the event of mounting/use, depreciation or refusal of return may follow if the product is no longer saleable as new.
10.2 Customised products cannot be returned without prior consultation, except in cases where this is required by mandatory consumer law.
10.3 Return shipments must be properly packaged. The customer is responsible for damage caused by improper packaging during return shipment.

11. Services: execution, planning and additional work
11.1 Etappe Cycling performs services to the best of its knowledge and ability and in accordance with the requirements of good workmanship.
11.2 Some services may be subject to a minimum advance booking requirement (e.g. due to the need to order components in good time). As a guideline, wheel building/assembly services should be scheduled no later than 2 days in advance, unless Etappe Cycling confirms otherwise.
11.3 If, during the execution, it appears that additional work or parts are required, Etappe Cycling will inform the Customer and, where reasonably possible, request permission first. In urgent situations or in the event of safety risks, Etappe Cycling may carry out necessary work to prevent damage/danger, at reasonable costs.
11.4 Etappe Cycling may have work carried out (in part) by external partners if this is necessary. This may have consequences for the delivery address.

12. Cancelling, rescheduling appointments and no-shows (services)
12.1 Cancellations or rescheduling are free of charge up to 24 hours before the scheduled appointment, unless Etappe Cycling has demonstrably ordered specific parts for that service or reserved time that can no longer be filled. In that case, reasonable costs may be charged.
12.2 In the event of a no-show or cancellation within 24 hours, Etappe Cycling may charge a reasonable fee for reserved time and/or parts already ordered.

13. Garantie en conformiteit (wettelijke garantie)
13.1 Consumer purchases are covered by statutory warranty. This means that the product must comply with the agreement (conformity). These statutory rights cannot be excluded.
13.2 Any manufacturer's warranty is an additional warranty and does not affect the statutory warranty.

14. Additional warranty Etappe Cycling (wheels and wheel construction)
14.1 Etappe Cycling may provide an additional warranty on certain (hand-built) wheels or wheel sets. Unless otherwise stated in the product description, the following applies:
a. 2-year additional warranty on spontaneous loss of spoke tension and mechanical defects, provided that normal use has been made of the product and there has been no external impact/collision;
b. rotating parts that are subject to normal wear and tear (e.g. bearings) are excluded from this additional warranty;
c. damage caused by improper use, incorrect maintenance, assembly errors, collisions, falls, transport damage, corrosion due to incorrect use, or normal wear and tear is not covered by the warranty.
14.2 If the warranty applies, Etappe Cycling will, at its discretion, repair, replace or (if reasonable) offer a (partial) refund, with due observance of statutory consumer rights.

15. Terrano products (Terrano Q) and factory conditions
15.1 Factory and/or manufacturer conditions may apply to Terrano products (such as Terrano Q). Etappe Cycling can assist with correspondence, but the manufacturer may impose its own requirements (such as RMA procedure, deadlines and packaging requirements).
15.2 Mandatory consumer rights (such as conformity and withdrawal where applicable) remain in full force.
15.3 If Etappe Cycling facilitates a return or warranty claim for Terrano products, Etappe Cycling may require the Customer to include all accessories, manuals and original packaging, and that the Customer cooperates with the steps requested by the manufacturer.

16. Retention of title (business)
16.1 Delivered products remain the property of Etappe Cycling until the business Customer has fully complied with all obligations under the agreement, including full payment of invoices, interest and costs.
16.2 The Consumer is not limited in legal protection in consumer purchases.

17. Liability
17.1 Etappe Cycling is only liable for direct damage resulting from intent or deliberate recklessness on the part of Etappe Cycling, or insofar as liability cannot be excluded under mandatory law.
17.2 For business customers, Etappe Cycling's liability is limited, to the extent permitted, to the invoice amount of the order in question (or the part to which the liability relates), with a maximum of the amount paid out by the liability insurer.
17.3 Etappe Cycling is not liable for indirect damage (such as consequential damage, loss of profit, lost savings, damage to reputation), except in cases of intent or deliberate recklessness.
17.4 Etappe Cycling is not liable for damage caused by incorrect or incomplete information provided by the Customer, incorrect assembly by the Customer or third parties, or use contrary to instructions.
17.5 When carrying out maintenance/repairs, Etappe Cycling may perform a (short) test if necessary. The Customer gives permission for this, unless refused in writing in advance. Etappe Cycling will act with due care in this regard.

18. Force majeure
18.1 Force majeure is understood to mean any circumstance beyond the control of Etappe Cycling that temporarily or permanently prevents performance, including in any case: supply problems, transport disruptions, illness, fire, government measures and disruptions to payment or IT systems.
18.2 In the event of force majeure, obligations will be suspended for as long as the force majeure lasts. If the period lasts longer than is reasonable, both parties may terminate the agreement (in whole or in part) without being liable for damages, insofar as this is legally permitted.

19. Complaints and disputes
19.1 Complaints about products or services must be submitted to Etappe Cycling as soon as possible after discovery, and preferably within 14 days, stating the reasons, via contact@etappecycling.com.
19.2 Etappe Cycling aims to respond to complaints in detail within a reasonable period of time.
19.3 All agreements are governed by Dutch law.
19.4 Disputes will be submitted to the competent court in the Netherlands. Consumers are also entitled to submit a dispute to the court that is competent according to the law.
19.5 If applicable, the Consumer can use the European ODR platform for online dispute resolution.

20. Privacy and communication
20.1 Etappe Cycling processes personal data in accordance with applicable privacy legislation (GDPR). Where available, reference is made to the privacy policy on the website.
20.2 Etappe Cycling may communicate with the Customer via email, telephone and (if used) WhatsApp for the purpose of performing the agreement.

21. Changes to the general terms and conditions
21.1 Etappe Cycling may change these terms and conditions. The most recent version will be published on the website.
21.2 Changes do not apply retroactively to agreements that have already been concluded, unless the change is necessary due to legislation or regulations or is reasonably required.
